Terms and Conditions of Use for Tenants

Single-Key offers rental payment guarantees to landlords and payment flexibility to tenants under specific conditions described below.

Single-Key is Not a property manager and will not be liable for any claim, injury or damage arising in connection with your use of our Services.

1. Your account with Single-Key

When you enroll to use our Services, you must fill in our online form (here). Single-Key will create an account and provide you with a reference number. You agree to keep the information regarding your lease current by sending an email to Single-Key at contact@single-key.com. You must notify Single-Key within 48 hours if you terminate your lease agreement. Once you have made a rental payment through Single-Key, your account cannot be deleted. You may opt out of communications, and cease rental payment through Single-Key but your payment history, and any information related to it will remain in our system.

To be eligible to use our Services, the Tenant must be an individual at least 18 years old who is able to form legally binding contracts under applicable law. You may use the Services offered by Single-Key on your own behalf. No bots, unapproved software or automated services may be used to access or use our website and/or Services.

In order to be eligible for our Services you also must sign a Single-Key approved lease agreement with a Landlord referenced by Single-Key. Our Services start once you have signed a Single-Key approved lease agreement with a Landlord referenced by Single-Key, and paid the first and last month of rent through Single-Key. A Landlord referenced by Single-Key is a Landlord who has enrolled on Single-Key’s platform and who received a reference number from Single-Key.

You hereby authorize us, directly or through third parties, to make any inquiries we consider necessary to validate your identity. This may include asking you for further information, requiring you to take steps to confirm ownership of your email address or financial instruments, ordering a credit report and verifying your information against third party databases or through other sources. You represent and warrant that you have the power and authority to provide this information to us.

2. Use of Website and Services

Our Website and Services may be used for your personal, non-commercial use only; you may not use any service provided by Single-Key for commercial purposes without the express prior written consent of Single-Key. When using our Website and our Services, you also agree to:

  1. use the Services exclusively for application to a lease agreement, rental payment, payment flexibility under Single-Key’s policy and not for the remittance of any other types of payments;
  2. comply in all respects with this Agreement and any other agreements that you have entered into with us;
  3. comply with all applicable federal, provincial and local laws and regulations;
  4. respect our intellectual property and the intellectual property of any third party related to Single-Key;
  5. provide, if requested, confirmation of your identity or any other information you have provided to us, and cooperate with Single-Key when requested to provide additional information in relation with these or with the use of our Website or Services;
  6. respond in a reasonable and timely fashion to our communications;
  7. not introduce or facilitate the use or spread of any computer programs that may damage, intercept or interfere with our Website or Services or Operations such as (viruses, trojan horses, worms etc.);
  8. not take any action that may damage our Corporate image or cause us to lose any of our services from third party providers or other suppliers.
3. Third-Party Providers

We may use one or more third-party service providers in the course of providing our Services. You agree that information about you and your Payments may be shared with such service providers for the purposes of performing this Agreement in accordance with our Privacy Policy.

4. Fraud

If Single-Key has reason to believe that you, or parties affiliated with you, engage, intent to engage, or may have engaged in any violation of applicable laws, whether criminal or civil, Single-Key may cease to provide you the services, and will contact the appropriate law enforcement authorities. You agree to cooperate fully with any such investigations.

5. Intellectual Property

All related, logos, data, and other content in our website that users see or read on is owned by Single-Key or are used by permission. Any use of such proprietary material, is expressly prohibited without the prior permission of Single-Key.

6. Termination or Suspension of your account

Single-Key may terminate or suspend your account if you breach any term of this Agreement. Single-Key may also take appropriate legal action in addition to the termination or suspension of your account.

In the event of termination or suspension of your account, Single-Key will send you a notification. All obligations of the parties, monetary and non-monetary, which by their nature should survive the expiration or termination of this Agreement shall continue in full force and effect subsequent to and notwithstanding the expiration or termination of this Agreement.

7. Payments

The Tenant agrees that all rental payments to the Landlord you entered the lease agreement with will be paid through Single-Key and not directly to the landlord.

7.1. Start of lease

The Tenant needs to sign the lease provided by Single-Key, and pay the first and last month by interact email transfer sent to payment@single-key.com with their reference number as subject. Single-Key will forward the contract and the rent to the Landlord. The tenant can then move into the premises.

7.2. Paying Rent

The Tenant needs to send rent by Interact email transfer on payment@single-key.com before midnight on the 1st of each month. WHEN THE TENANTS SENDS THE FULL AMOUNT ON TIME THEY DO NOT INCUR ANY CHARGES.

If the Tenant misses the payment date, Single-Key will send them a notification and extend a 48-hour grace period before taking any further action. If the Tenant has not paid the full amount by the end of the grace period (i.e. by midnight on the 3rd day of the month), Single-Key will consider that the Tenant has opted for the Payment Flexibility option described below and charge an interest rate on the unpaid principal owed to Single-Key. If the tenant would like to postpone their rent payment for the month, they need to make a 5% minimum payment in order to remain in good standing (not delinquent).

7.3. Payment Flexibility

Single-Key offers the Tenants the possibility to delay payment of a maximum of one-month worth of rent. The Tenant has the possibility to delay payment of one full month worth of rent or make partial payments over several months with the total amount of unpaid principal capped at one-month worth of rent. If the tenant chooses to delay their rent for the month, they need to make a 5% minimum payment in order to remain in good standing (not delinquent).

When the Tenant has an unpaid principal owed to Single-Key, the Tenant will be deemed to have borrowed that amount from Single-Key at a monthly interest rate of 1.46%, i.e. 18.99% per annum) on the outstanding balance.

All amounts due to Single-Key must be paid by Interact email transfer on payment@single-key.com. The Tenant does not need to send separate Interac email transfers, they can send balance payment and interest rate in one transaction as outlined in their monthly eStatement.

A. Partial Rental Payment

When a Tenant has made a partial rental payment, Single-Key will complete the rest of the rent payment and send the full rental amount owing for the month to the Landlord. The Tenant will be deemed to have borrowed the unpaid principal at a monthly rate of 1.46% (i.e. 18.99% per annum). The unpaid principal will become the outstanding balance owed to Single-Key by the tenant. The Tenant is free to repay the outstanding balance in one transfer or in installments within twelve months. The Tenant must however make a minimum payment of 5% on the outstanding balance before the 1st day of the month in order not to become delinquent.

If the Tenant misses the payment date, Single-Key will send them a notification and extend a 48-hour grace period before taking any further action.

B. Delay of the Full Rental Payment

When a Tenant has chosen to delay the full rental amount payment on a given month during the lease, Single-Key will pay the full rental amount to the Landlord. The Tenant does not need to notify Single-Key if he chooses to delay the payment of the rent. Once the 48-hour grace period has expired (i.e. after midnight on the 3rd day of the month), the Tenant will be deemed to have borrowed the unpaid principal at a monthly rate of 1.46% (i.e. 18.99% per annum).

The unpaid principal will become the outstanding balance owed to Single-Key by the tenant. The Tenant is free to repay the outstanding balance in one transfer or in installments within twelve months. The Tenant must however make a minimum payment of 5% on the outstanding balance before the 1st day of the following month in order not to become delinquent.

If the Tenant misses the payment date, Single-Key will send them a notification and extend a 48-hour grace period before taking any further action.

C. Payment after expiration of the lease

After the expiration of the lease, the Tenant has twelve months to repay the outstanding balance owed to Single-Key, while still meeting the minimum payments before midnight on the 1st of each month, even if the Tenant has moved out of the leased premises.

If a Tenant does not meet his payment obligations to Single-Key, i.e. the minimum payment of the remainder of the outstanding balance by the twelve’s month after expiration of the lease, the Tenant will be deemed to have entered a delinquent state and Single-Key will take the actions described below (see 7.3.5. Delinquency).

D. Limits of the Payment Flexibility feature

The Tenant cannot carry an outstanding balance higher than one-month worth of rent on his lease agreement. If a Tenant owes more than one-month worth of rent, the Tenant will be deemed to have entered a delinquent state and Single-Key will take the actions described below (see 7.3.5. Delinquency).

E. Delinquency

Once a tenant has entered a delinquent state, Single-Key will notify the Tenant on their status, and the interest rate on the outstanding balance will change from 18.99% per annum to 29.99% per annum for the reminder of the tenancy.

Once notified, the Tenant has 14 days to pay whichever applies, the minimum amount owed or the difference between the current outstanding balance and the maximum authorized outstanding balance (i.e. one month worth of rent). Should the Tenant fail to make the required payment by the end of the 14 days period, single-key will initiate an eviction procedure to remove the tenant from the leased premises and take legal action to recover the amounts owed by the tenant.

8. Disclaimer of Warranties

Use of our Services is entirely at your own risk.

The services are provided without warranties of any kind, either express or implied, including, but not limited to, warranties of merchantability, fitness for a particular purpose and non-infringement.

Single-Key does not warrant that access to the Services will be uninterrupted or that the Services will be error-free; nor do they make any warranty as to the results that may be obtained from the use of the service, or as to the timeliness, accuracy, reliability, completeness or content of any or service, information or materials provided through or in connection with the use of the service.

9. No Liability

You agree not to hold Single-Key, its employees, directors, shareholders and any third party associated with its Services, liable for any damage, suits, claims, and/or controversies that have arisen or may arise, whether known or unknown, relating to your use of or inability to use the service.

10. Governing Law

This Agreement is governed by, and is to be interpreted, construed and enforced in accordance with, the laws of Ontario and the laws of Canada applicable in Ontario, excluding any rule or principle of conflicts of law that may provide otherwise.

11. Jurisdiction

The parties irrevocably submit to and accept generally and unconditionally the exclusive jurisdiction of the courts and appellate courts of the Province of Ontario with respect to any legal action or proceeding which may be brought at any time relating in any way to this Agreement except for applications for injunctive relief or specific performance by Single-Key. Each of the parties irrevocably waives any objection it may now or in the future have to the venue of any such action or proceeding, and any claim it may now or in the future have that any such action or proceeding has been brought in an inconvenient forum. Jurisdiction and venue under this Agreement shall lie in the Province of Ontario.

12. Modifications to the Service

Single-Key reserves the right in its sole discretion to review, improve, modify or discontinue, temporarily or permanently, the Website and the Service with or without notice. Single-Key will not be liable to any party for any modification or discontinuance of its Services.
